                                             ARTICLE I

                                                 Name

The name of the organization shall be the Housatonic Valley Regional High School Alumni Association.

                                             ARTICLE II

                                                Mission

The Mission of the Alumni Association is to provide support to the core values of the Housatonic Valley Regional High School.

                                             ARTICLE III

                                                 Purpose

The purpose of this organization shall be to support the educational programs, the faculty, staff and the students of Housatonic Valley Regional High School through the generosity of its alumni and friends. This will include, but not be limited to, dissemination of information about the school through the “Blue 'n' Gold”, supporting the Alumni Wall of Honor and Athletic Hall of Fame, assistance with the purchase of capital items, contributions to scholarship funds, facilitating class reunions, and becoming involved in other initiatives that will contribute to the improvement of the school.

 

                                              ARTICLE IV

                                             Membership

Membership in the Alumni Association is open to all graduates, former students, past and present faculty and staff members of the Housatonic Valley Regional High School. Graduates shall automatically become members.
Members support and sustain the work of the Association through their generosity. The Board of Directors may establish membership designations to recognize Alumni and friends who sustain the work of the Association.


                                              ARTICLE V

                                       Board of Directors

The Board of Directors shall consist of no fewer than 10 members, with efforts made to have each decade represented. At least 75% of the board members shall be alums of Housatonic Valley Regional High School. Other members may include the current Housatonic Valley Regional High School principal, former principals, current and former faculty or staff members and community members at-large.

Directors shall be nominated by the Governance Committee and elected by the Board of Directors. Terms are continuous and elected members shall serve until they resign, or as otherwise determined by the Board.

There shall be a category known as a board member Emeritus who is nominated and elected by the Board of Directors. The position is ex-officio voting, but not counted toward a quorum. To be considered for this designation as a board member Emeritus the individual must be a current or former member of the Board of Directors who has served with distinction and made significant contributions.

A Director may resign at any time by giving written notice to the president or secretary of the Board.

 

                                              ARTICLE VI

                                       Officers and Duties

The members of the Board of Directors shall choose from among their numbers a chairman, vice chairman, secretary, treasurer, and an editor for the newsletter. The Board may, at its sole discretion, select and designate other Directors to assist in the performance of Association activities.

It shall be the responsibility of the chairman to preside at all meetings of the Board and the Association, to make committee and committee chair assignments, in consultation with the Governance Committee, and to perform such other duties as required by the position.

It shall be the responsibility of the vice chairman to preside at meetings of the Board and the Association in the absence of the chairman and to assume additional responsibilities as needed.


It shall be the responsibility of the secretary to keep minutes and disseminate, in draft form, to the Board of Directors within five days of the meeting in Microsoft Word or PDF formatted email.

It shall be the responsibility of the treasurer to make all deposits, to transfer funds as needed, to keep the financial records of the Association, and to present a report at each meeting of the Board and the Association. The chairman or a member of the Finance Committee shall assist the treasurer with the above duties when necessary.


It shall be the responsibility of the editor to assemble all news items and to produce final copies of the “Blue ‘n’ Gold” for publication.


                                              ARTICLE VII

                                               Committees

Committees enable the work of the Board to be more efficient and effective. The chairman of the Board, in consultation with the Governance Committee, appoints all committee members and committee chairs. Committees may include individuals who are not members of the Board but have interests and/or expertise that align with committee assignments. The Board has four standing committees: (1) Executive, (2) Governance, (3) Communications, Marketing, and Fund Development and (4) Finance. The chairman may also appoint ad hoc committees to assist with the work of the Board.

                             A. Executive Committee

The members of the Executive Committee are the chairman, vice-chairman, secretary and treasurer of the Board, the chairman of the Board is the chairman of the Executive Committee. The Executive Committee meets at the call of the chairman and may act on matters not directly related to the standing committees, or needing attention between regular meetings of the Board. Actions by the Executive Committee will be presented for ratification at the next Board meeting.

 

 

 

                             B. Governance Committee

The Governance Committee will have at least three members. The Committee will be responsible for the nomination of new members to the Board, for the periodic review of the Association Bylaws,
and for making recommendations to the Board regarding best practices.

The Committee shall adopt an annual program of work to advance its objectives.

 

C. Communications, Marketing and Fund Development Committee

The Communications, Marketing, and Fund Development Committee will normally have six members. The Committee will be responsible for developing and implementing initiatives to enhance communications and engagement with the membership. This will include the enhancement of the Association’s website and Facebook page, publication of the “Blue ‘n’ Gold” and building the alumni US Mail, email and social media network.

The Committee shall also be responsible for developing and implementing initiatives to secure the financial resources to sustain the Mission and Purposes of the Association.

The Committee shall adopt an annual program of work to advance its objectives.

 

 

 

                                  D. Finance Committee

The Finance Committee will have at least three members, the chairman of the Committee shall be the Treasurer. The Finance Committee shall be responsible for oversight of the finances of the Association including the development of an annual budget, shall advise the Board regarding the custody and management of the Association funds.

The Committee shall adopt an annual program of work to advance its objectives.


                                              ARTICLE VlII

                                                  Meetings

Meetings of the Board are scheduled on a monthly basis, with special meetings called when deemed necessary. In the event of an emergency at a time when a meeting cannot be held, the chairman may call a meeting of the Executive Committee or shall have the authority to poll members of the Board by telephone or email.

Meetings of the Board and the Committees may be held in-person, via telephone or other electronic media, or using a combination of modes of attendance.

All supporting documents, the Agenda, Minutes and Committee Reports shall be disseminated, to Board members via Microsoft Word or PDF formatted email no later than five days prior to the meeting of the Board.

 

 

 

                                              ARTICLE IX

                                                  Quorum

A quorum shall consist of a majority of members of the Board of Directors, including those attending via telephone or other media. In the absence of a quorum, the chairman and those in attendance may
conduct the business of the Board subject to subsequent votes polled by telephone, email, or other media.

 

                                              ARTICLE X

                                            Amendments

Amendments to the Association Bylaws may be made on a motion and voted by a 2/3 majority of the Board of Directors.
